Please read these Terms carefully. They include important provisions about self-custody, the risks of Digital Assets, disclaimers, and limits on our liability. They are not financial or investment advice.
1. Agreement to these Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your", or "User") and Lydia Investment Holding Limited Company ("Lydia", "we", "us", or "our"). They govern your access to and use of our websites, products, and services, including lydiacoins.com, the Lydia Wallet self-custody application, the USAD stablecoin, the BSW token, Barter Bridge, Expo Bridge, Lydia Mint, and any other online properties that link to these Terms (together, the "Services").
By accessing or using the Services, creating an account, or clicking to accept these Terms, you confirm that you have read, understood, and agree to be bound by them and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Services.
2. Definitions
- "Digital Assets" means cryptocurrencies, stablecoins, tokens, and other blockchain-based assets, including USAD and BSW.
- "Lydia Wallet" means our self-custody wallet application through which you generate and control your own private keys.
- "USAD" means the asset-backed stablecoin issued within the Lydia ecosystem and deployed on the Base network.
- "BSW" means the BSW token within the Lydia ecosystem.
- "Blockchain" means a distributed, public ledger (such as Base or Ethereum) on which Digital Asset transactions are recorded and which is outside our control.
- "Content" means all text, graphics, logos, software, and other materials made available through the Services.
3. Eligibility and accounts
To use the Services, you represent and warrant that:
- you are at least 18 years old and have full legal capacity to enter into these Terms;
- you are not located in, a resident of, or accessing the Services from a country or territory that is subject to comprehensive sanctions, and you are not a person with whom dealing is prohibited under applicable sanctions laws;
- you are not barred from using the Services under the laws of your jurisdiction or any applicable law; and
- any information you provide to us is accurate, current, and complete.
Some features require an account or identity verification. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at legal@lydiacoins.com if you suspect any unauthorised use.
4. The Services
The Lydia ecosystem brings together several products. The availability, features, and supported jurisdictions of each may change, and not every product is offered everywhere.
- Lydia Wallet — a non-custodial wallet for storing, sending, and receiving supported Digital Assets. See the self-custody terms in section 5.
- USAD — an asset-backed stablecoin. Acquisition, holding, and any redemption of USAD are subject to the applicable product terms, eligibility checks, and the operation of the underlying smart contracts and reserves.
- BSW — an ecosystem token. BSW is a utility-oriented Digital Asset and is not offered as, and should not be treated as, a security or an investment product.
- Barter Bridge and Expo Bridge — services that facilitate exchange, discovery, and connection within the ecosystem, subject to any product-specific terms or waitlists.
- Lydia Mint and other features — additional tools that may be offered from time to time under these Terms or under supplemental terms presented at the point of use.
Where a product has its own supplemental terms, those terms apply in addition to these Terms. If there is a conflict, the supplemental terms control for that product.
5. Self-custody and your responsibility
Lydia Wallet is a self-custody (non-custodial) wallet. This means:
- your private keys and recovery phrase are generated and stored on your device;
- we never hold, control, or have access to your keys, your recovery phrase, or your Digital Assets, and we cannot transact on your behalf;
- you are solely responsible for securing your device, recovery phrase, and credentials, and for every transaction you authorise.
We cannot recover your recovery phrase, reverse a transaction, or restore access to your wallet if you lose your keys. Blockchain transactions are generally irreversible. We will never ask you for your recovery phrase or private keys — anyone who does is attempting to defraud you.
You are responsible for verifying addresses, networks, and transaction details before confirming. Sending Digital Assets to an incorrect or incompatible address or network may result in permanent loss for which we are not liable.
6. Identity verification, AML and sanctions
To comply with applicable anti-money laundering (AML), counter-terrorist financing (CTF), and sanctions laws, certain features may require us or our partners to verify your identity ("KYC"). You agree to provide accurate information and documentation when requested.
We may refuse, suspend, restrict, or reverse access or transactions where we reasonably believe that:
- doing so is required to comply with law or a request from a competent authority;
- the activity is fraudulent, unlawful, or breaches these Terms; or
- you are, or are acting on behalf of, a sanctioned person or a person in a prohibited jurisdiction.

7. Acceptable use
You agree not to use the Services to, and not to permit anyone else to:
- break any law or regulation, or facilitate money laundering, terrorist financing, fraud, or sanctions evasion;
- infringe the intellectual property or other rights of Lydia or any third party;
- gain unauthorised access to, interfere with, or disrupt the Services, related systems, or networks, including by introducing malware or launching denial-of-service attacks;
- reverse-engineer, decompile, or attempt to extract source code, except where permitted by law;
- engage in market manipulation, wash trading, or deceptive or abusive trading practices;
- scrape, harvest, or collect data from the Services other than as expressly permitted; or
- use the Services to transmit harmful, harassing, defamatory, or otherwise objectionable content.
We may investigate and take action — including suspension or termination — in response to any suspected breach of this section.
8. Digital Assets, USAD and tokens
Digital Assets are recorded on public blockchains that operate independently of Lydia. We do not control the underlying networks and are not responsible for their operation, security, forks, validator behaviour, congestion, or downtime.
USAD is designed as an asset-backed stablecoin, but its value, stability, and any redemption mechanism depend on the underlying reserves, smart contracts, market conditions, and applicable terms. We do not guarantee that USAD will maintain any particular value or peg, or that it will always be redeemable, convertible, or liquid.
BSW and other ecosystem tokens are utility-oriented Digital Assets. Nothing in the Services constitutes an offer or solicitation to buy or sell a security, and acquiring tokens does not confer equity, ownership, dividend, or governance rights unless expressly stated in supplemental terms.
Digital Assets are not legal tender, are not bank deposits, and are not covered by any deposit-insurance or investor-compensation scheme.
9. Risk disclosure
Using Digital Assets involves significant risk. By using the Services you acknowledge and accept that:
- Volatility — the value of Digital Assets can be highly volatile and may fall as well as rise; you could lose some or all of your assets.
- Irreversibility — blockchain transactions generally cannot be reversed, and errors may be permanent and unrecoverable.
- Technology risk — smart contracts, bridges, and protocols may contain bugs or vulnerabilities despite audits; audits reduce but do not eliminate risk.
- Regulatory risk — laws affecting Digital Assets are evolving and may adversely affect the Services, their availability, or the value or legality of Digital Assets in your jurisdiction.
- Liquidity and counterparty risk — markets may become illiquid, and third parties on which the Services rely may fail.
You are responsible for assessing whether using the Services is appropriate for you.
10. No financial, investment, legal or tax advice
The Services and any related Content are provided for general information only and do not constitute financial, investment, legal, accounting, or tax advice, nor a recommendation to buy, sell, or hold any Digital Asset. We are not your broker, agent, fiduciary, or adviser. You should obtain independent professional advice before making any decision involving Digital Assets, and you act at your own risk.
11. Fees and taxes
Some features may be subject to fees, which we will disclose at or before the point of use. Network ("gas") fees charged by a blockchain are separate from any Lydia fees and are payable by you. Fees are non-refundable except as required by law or expressly stated.
You are solely responsible for determining and paying any taxes that apply to your use of the Services and your Digital Asset activity, and for any related reporting.
12. Third-party services
The Services may integrate with or link to third-party services, including exchanges, blockchain networks, identity-verification providers, payment processors, and decentralised protocols (for example, trading USAD on a third-party decentralised exchange). We do not control and are not responsible for third-party services, and your use of them is governed by their own terms and policies. We are not liable for any loss arising from your use of third-party services.
13. Intellectual property
The Services and all Content, including the Lydia and USAD names, logos, wordmarks, and designs, are owned by or licensed to Lydia and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose.
You may not copy, modify, distribute, sell, or create derivative works from the Services or Content except as expressly permitted (including any separately published brand or media-kit guidelines). All rights not expressly granted are reserved.
14. User content and feedback
If you submit content through the Services (for example, support messages, applications, or community posts), you are responsible for it and represent that you have the right to share it.
If you send us feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction or obligation to you.
15. Disclaimers
To the fullest extent permitted by law, the Services and all Content are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components, that defects will be corrected, or that any Digital Asset will retain value or remain available. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
16. Limitation of liability
To the fullest extent permitted by law, Lydia and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or Digital Assets, arising out of or relating to your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the total fees you paid to us for the Services in the three (3) months preceding the event giving rise to the claim, or (b) USD 100.
We are not liable for losses caused by events outside our reasonable control, including the conduct of blockchain networks, third-party services, or your own failure to safeguard your keys or device. Nothing here limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited by law.
17. Indemnification
You agree to indemnify and hold harmless Lydia and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your breach of these Terms, your violation of any law or third-party right, or your Digital Asset activity.
18. Suspension and termination
We may suspend, restrict, or terminate your access to the Services (in whole or in part), with or without notice, where we reasonably believe it is necessary to comply with law, protect the Services or other users, address a breach of these Terms, or manage risk.
You may stop using the Services at any time. Because Lydia Wallet is self-custody, terminating your use of our Services does not affect your control of your keys or your on-chain assets. Sections that by their nature should survive termination — including those on disclaimers, liability, indemnification, intellectual property, and governing law — will continue to apply.
19. Changes to the Services and to these Terms
We may modify, suspend, or discontinue any part of the Services at any time. We may also update these Terms from time to time to reflect changes in our practices, the Services, or applicable law. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
20. Governing law and dispute resolution
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales, without regard to conflict-of-laws principles.
The courts of England and Wales have exclusive jurisdiction to settle any such dispute, except that, if you are a consumer, you may also be entitled to bring proceedings in the courts of your country of residence where required by mandatory local law. We encourage you to contact us first at legal@lydiacoins.com so we can try to resolve the matter informally.
21. General
- Entire agreement — these Terms, together with any supplemental terms and the Privacy Policy, are the entire agreement between you and us regarding the Services.
- Severability — if any provision is held unenforceable, the remaining provisions remain in full force and effect.
- No waiver — our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment — you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure — we are not liable for delays or failures caused by events beyond our reasonable control.
- No third-party rights — these Terms do not create rights enforceable by anyone other than you and us, except as expressly stated.
